Terms of Service.

These terms explain how you can use vantelyx.dev and Vantelyx Studio, and how we work with you when you engage us to build or look after a digital system. They are written to be read, so please read them before you create an account or accept a quote.

At a glance

  • Every engagement is quoted in writing. Estimates and typical timelines on the website are guides. Your project is the work, price and terms in the quote you accept.
  • Free tools are guidance, not offers. Audit scores, blueprints and estimates help you plan. They are not a quote.
  • What we build for you is yours. Code, content and accounts are handed to you at delivery, and domains are registered in your name.
  • Setu has its own terms. These terms cover Vantelyx’s website, Studio and services, not the Setu platform.

Who we are and what these terms cover

These terms are issued by Vantelyx Technologies Private Limited (“Vantelyx”, “we”, “us”), a company registered in Nepal under registration no. 400359/83/84, with its registered office at Kathmandu Metropolitan City, Ward No. 12, Bagmati Province, Nepal.

They apply when you:

  • use the public website at vantelyx.dev, including the free Digital Growth Audit and other tools;
  • create or use an account in Vantelyx Studio, the signed-in client workspace at /studio;
  • engage us to design, build or look after a website, platform, automation, app or other digital system.

“You” means the person using the website or Studio and, where you act for a business, that business. If you accept a quote or invite a team on behalf of a business, you confirm you are authorised to do so.

How we handle personal data is explained in the Privacy Policy, and the cookies and browser storage we use are listed in the Cookie Policy.

Setu is covered separately

Setu is a software platform that Vantelyx builds and operates for businesses. Its use is governed by the Setu Terms of Service and the Setu Privacy Policy, not by these terms. Having a Studio account or a project with us does not give you a Setu account, and a Setu account does not create a project engagement with us.

Using the website and free tools

You may browse the website and use its free tools, such as the Digital Growth Audit and the ROI calculator, for your own business purposes.

  • Audit reports are automated scans of a public website, using sources such as Google PageSpeed Insights. Scores can change between scans and are a guide, not a guarantee of results.
  • Calculator figures, blueprints and price or timeline estimates are planning signals, not offers. Every engagement is scoped and quoted in writing after a review by a person on our team.
  • Service descriptions, typical timelines and case studies describe our work in general. They do not form part of your agreement unless your quote includes them.

The tools are rate-limited and protected by bot checks. Please submit only websites you own or are authorised to review.

Studio accounts

Our services are for businesses and the people who run them. You must be at least 18 to create a Studio account.

  • You can sign in with Google or with an email address and password. To finish setting up, we ask for your name and, where enabled, a mobile number verified with a one-time code.
  • Give accurate details and keep them up to date. They are used on your projects, quotes and invoices.
  • Keep your sign-in details secure and tell us at hello@vantelyx.dev if you think someone else has used your account.
  • The workspace owner can invite teammates as members, who can act in the workspace, or viewers, who can only read. The owner decides who has access and can remove it.
  • We send service messages, such as quotes, project updates and invoices, by email and, if you verify a number for it, by WhatsApp. You can manage optional email notifications in Studio.

Project engagements

A typical engagement runs like this:

  1. Intake. You describe your business and goals in Studio, partly through an AI-assisted conversation, and may receive a blueprint. The blueprint is a planning signal, not an offer.
  2. Quote. A person on our team reviews your brief and sends a written quote setting out the work, the price and the date it is valid until.
  3. Acceptance. When you accept a quote, you authorise us to begin the work it describes at the amount it states. See Quotes and acceptance.
  4. Delivery. We share progress, ask for approvals and post updates in Studio. Updates are reviewed by a person before they are sent to you.
  5. Handover and care. At delivery we hand the work over to you. Ongoing care is optional and agreed separately.

Changes to scope. If you ask for something outside the accepted quote, we will tell you, and may send a change order with its own price. Work in a change order starts only once you accept it in Studio.

Your part. Projects depend on timely input from you: content, feedback, approvals and access to the services you want connected. Timelines are agreed for your project in writing, and they move if the input they depend on is delayed.

Quotes and acceptance

  • A quote states the work, the price and its currency, and the date it is valid until. Some quotes give the price as a range.
  • Quotes can be accepted only before they expire. If one has expired, ask us to refresh it.
  • You accept a quote in Studio by typing your full name, ticking the consent box and selecting Sign & accept. This is your electronic signature. We record your typed name, the time, a fingerprint of the signed record, the version of the terms shown, and your IP address and browser, as evidence of the agreement.
  • The terms of engagement shown with your quote, and any written agreement for your project, form part of your agreement with us. Where they differ from this page, they take precedence for that project.
  • You may decline a quote in Studio and tell us why.

Invoices and payment

  • Every engagement is invoiced in writing. Your invoices are listed in Studio under Billing.
  • Pay by the method shown on your invoice or in Studio and send us the payment reference. We record each payment by hand and mark the invoice once it is received. We do not take card payments on this website.
  • Refunds and cancellation charges, if any, are those set out in the written agreement for your engagement. These terms do not add refund rights beyond that agreement or the law.
  • If you dispute an invoice, tell us at hello@vantelyx.dev with the invoice number so we can look into it.

Care plans, monitoring and domains

Care plans. Ongoing care, such as updates, monitoring, backups and small edits, is offered as optional plans. You request a plan, a change of plan, a pause or a cancellation in Studio. Your architect confirms the rate and start date before anything changes, and care is invoiced like any other engagement.

Site monitoring. Studio can re-audit websites you ask us to monitor and alert you when a score changes. Add only websites you own or manage.

Domains. We register domains in your name, so you are always the owner. We purchase one for you only after you approve the price in Studio. Domain registrations are non-refundable once purchased, and the registrar’s own terms apply to the domain.

Referrals and testimonials

Referrals. Studio members can share a referral link. You earn credit, in months of care, only when someone you refer becomes a paying client by paying their first invoice. You cannot refer yourself, and each new client can be referred only once. Credit is applied as a discount on a later care invoice.

Testimonials. Once a project is delivered, you may submit a testimonial. We review every submission and publish it only with your permission and the wording you approve. You can withdraw that permission at any time.

Acceptable use

When you use the website, Studio or our tools, you agree not to:

  • break the law, or ask us to build something that would;
  • submit material you do not have the right to use, or that infringes someone else’s rights;
  • try to get around rate limits, bot checks or access controls, or reach data that is not yours;
  • overload, probe, scrape or disrupt the service, or use automated means to access it beyond the features we provide;
  • use the audit or monitoring tools on websites you are not authorised to review;
  • impersonate another person or business;
  • put sensitive personal information, such as health or financial account details, into AI-assisted conversations.

AI-assisted features produce drafts and suggestions. A person on our team reviews them before they shape your quote or project.

Ownership and intellectual property

What we build for you. As set out in the terms of engagement for your project, the code, content and accounts we create for you are handed to you at delivery, and domains are registered in your name. Mobile apps are published under your own app-store accounts. Any different arrangement will be stated in your written agreement.

What you give us. You keep ownership of the content, brand assets and data you share with us. You permit us to use them only as needed to deliver and support your project.

Third-party components. Projects may include open-source software, fonts, images or other third-party material. These stay under their own licences.

Our website and brand. The Vantelyx and Setu names, logos, website design and content belong to Vantelyx or its licensors. You may not copy or reuse them without our permission, except to share or link to our pages.

Third-party services

Studio and the systems we build rely on services run by other companies. These include Google Sign-In and Firebase, Meta’s WhatsApp Business Platform, hosting and infrastructure providers, AI model providers, domain registrars and app stores. The Privacy Policy lists the providers we use.

Those services are governed by their own terms and policies. We do not control them, and we are not responsible for their availability, changes or decisions. When we connect a service to your project, you may need to accept its terms directly.

Responsibility and liability

We deliver the work described in your accepted quote. Beyond what your quote and written agreement state, the website, Studio and free tools are provided as they are. We do not promise that they will always be available or free of errors.

We are not responsible for:

  • decisions you make based on free tools, audit scores or estimates;
  • outages, changes or decisions by the third-party services described above;
  • delays caused by missing or late input, content or approvals;
  • changes made to delivered work by you or others after handover.

Any limit on liability for a project is set out in the written agreement for that engagement. Nothing in these terms excludes or limits any liability that cannot be excluded or limited by law.

Ending your use

You can stop using the website and Studio at any time. To close your account, request deletion in Studio or email hello@vantelyx.dev. We remove your workspace and data once any live work is settled, and a person confirms before anything is erased. We keep only the records the law requires, such as signed quotes, invoices and payment records, as described in the Privacy Policy.

Ending a project already under way, or a care plan, follows your written agreement and any cancellation request you make in Studio.

If an account is used in serious breach of these terms, for example to misuse our tools or other people’s data, we may restrict or close it after telling you why.

Changes to these terms

We will update these terms when our services or the way we work change, and revise the date at the top. If the changes are significant, we will tell Studio account holders by email or in Studio before they take effect. A quote you have already accepted stays under the terms of engagement you signed.

Questions and contact

If something goes wrong, please write to us first. We will try to resolve it with you directly and in good faith.
